11 Average Final Base Salary. Means the Executive's average annual salary (excluding bonuses and other non-regular forms of compensation) over the five year period ending on the January 31st next preceding the earlier of (i) the Retirement Date, (ii) the date of the Executive's death, or (iii) the termination of this Agreement.
