12 Affiliate

12 Affiliate. Shall mean any entity which directly or indirectly controls, is controlled by or is under common control with Sublicensee. The term "control" as used herein means possession of the power to direct or cause the direction of the management and the policies of an entity, whether through the ownership of a majority of the outstanding voting securities or by contract or otherwise.
