12 EFFECTIVE DATE

12 EFFECTIVE DATE. Shall mean the date when this Agreement is signed by both parties, and it is hereby mutually agreed that upon the Effective Date, all prior agreements between the parties shall be deemed terminated and superseded by this Agreement (provided however that any payment obligations accruing to MECHEM as a result of vehicles delivered prior to the Effective Date under prior agreements shall remain in force until final payment thereof).
