1211 Parent. As to any Acquiring Person any corporation which (a) controls the Acquiring Person directly or indirectly through one or more intermediaries, (b) is required to include the Acquiring Person in the consolidated financial statements contained in such Parent's Annual Report on Form 10-K and (c) is not 21 25 itself included in the consolidated financial statements of any other Person (other than its consolidated subsidiaries).
