1818 RRA. Shall mean the Registration Rights Agreement between the Issuer and 1818 Fund dated as of October, 29, 1999, as amended by a First Amendment dated as of February 15, 2000, and a Second Amendment dated as of June 9, 2000, and as further amended from time to time.
