1997 SUNRISE WARRANTS

1997 SUNRISE WARRANTS. Means those warrants (currently reflected on the Company's books and records as warrant numbers 45-52 and 54-59) issued in replacement of (upon the transfer of) warrant numbers 44 and 53, which were originally issued by the Company to Sunrise Securities Corp. or its affiliates as compensation for services in connection with the 1997 Common Stock Offering.
