2000 Restructuring Charge. Means the following non-recurring charges, in the aggregate amount not in excess of $125,000,000, incurred, accrued or reserved by the Borrower or its Consolidated Subsidiaries during fiscal year 2000: (i) write-off of goodwill and other intangibles related to impaired assets; (ii) direct inventory write-offs and/or related increases in inventory reserves; (iii) write-offs of fixed assets and non- capitalized relocation charges; and...
