2019 Measurement Date. The date that the Compensation Committee evaluates and certifies in writing, for purposes of determining vesting hereunder, the Company's results for the 2018 Fiscal Year (which evaluation and certification shall occur no later than the earlier of (i) March 15, 2019 or (ii) five business days following the Company's filing of its Annual Report on Form 10-K with respect to the 2018 Fiscal Year).
