2025 Restatement Effective Date. When (a) the Administrative Agent shall have received counterparts to this Restatement Agreement, duly executed and delivered by each Borrower, the Administrative Agent, the Swingline Lender, each Issuing Bank and all of the Lenders under the Original Credit Agreement and (b) each of the conditions set forth in Section 4.01 of the Eleventh Amended and Restated Credit Agreement have been satisfied or waived in accordance therewith.
