32 Georgetown Fees. Georgetown Fees shall mean the sum of the Basic Fee and Incentive Fee for any calendar year (or if the period is less than a calendar year, on a prorated basis) as defined within the Daily Grill Restaurant Management Agreement between Hotel Restaurant Properties, Inc. and CapStar Georgetown Company, L.L.C. dated May 13, 1998.
