33 COMPANY TERMINATION. In the event the Company's Board of Directors shall not have ratified this Agreement following the spin-off of the Company from Senior Housing prior to February 28, 2002, the Company shall have the option to terminate this Agreement by giving written notice to RMR on or before February 28, 2002. Any termination of this Agreement pursuant to this subparagraph 3.3 shall be effective as of February 28, 2002.
