A Trading Threshold

A Trading Threshold. Shall be deemed to occur at any time after the date on which the closing price of the Company's Common Stock has equaled or exceeded $3.375 for at least 10 consecutive Trading Days, provided the Company has a current and effective registration statement, or current and qualified offering statement, available covering the exercise of the warrants and the registration or qualification, as the case may be, of the underlying Warrant Shares.
