ACCELERATED OPTION SHARES

ACCELERATED OPTION SHARES. Means all shares of Common Stock subject to stock options held by a Participant, the vesting of which is accelerated (such that the stock options become exercisable to purchase such shares of Common Stock for the first time) in connection with a Change in Control.
