ACCELERATED RESTRICTED SHARES

ACCELERATED RESTRICTED SHARES. Means all shares of Common Stock subject to stock restriction agreements or other similar arrangements held by a Participant, the vesting of which is accelerated (such that any repurchase rights in favor of the Company with respect any restricted or unvested shares lapse for the first time) in connection with a Change in Control.
