Accelerated Share Award Gains. Shall mean the aggregate value of the Accelerated Shares based on the closing price the Company's common stock value determined on whichever of the following dates produces the greatest value: (1) the Termination Date; (2) the date on which the Executive breaches Sections 13(a) or 13(b) below; or (3) the date on which the Executive transfers or otherwise disposes of the Accelerated Shares.
