Accelerated Share Repurchase Program. Any share repurchase program entered into by the Borrower with Goldman Sachs Credit Partners L.P. or any of its affiliates for the purpose of repurchasing shares of the Borrower's common stock, including, but not limited to, (a) any accelerated share repurchase program or share forward transaction, (b) any share repurchase program compliant with the terms of Rule 10b5-1 under the Exchange Act and (c) any share repurchase program compliant with the terms of Rule 10b-18 under the Exchange Act.
