Accelerated Vesting

Accelerated Vesting. For each equity award granted by the Company, or any successor to the Company, that is outstanding on the date of a Qualifying Termination subject to (i) time-based vesting, the immediate vesting of all such time-based awards and (ii) performance-based vesting, the satisfaction, of the applicable performance-based vesting condition assuming achievement at target and without reduction for any shortened performance period.
