Acquired KnowHow

Acquired KnowHow. Means all Know-How that is owned or otherwise Controlled by Seller or its Affiliates on the Effective Date that is (a) related to the composition, research, development, manufacture, making, use or sale of an Acquired Compound or a Product or (b) necessary for the Exploitation of an Acquired Compound or a Product. The Acquired Know-How includes, without limitation, the Know-How described on Part 2 of Schedule A attached hereto.
