Acquisition Transaction Multiplier. Means (1) [***], if Company and/or any of its Affiliates have, directly or indirectly, collectively received aggregate gross payments totaling less than [***] from any Walmart Payor on or after the Issue Date, and (2) [***] if Company and/or any of its Affiliates have, directly or indirectly, collectively received aggregate gross payments totaling [***] or greater from any Walmart Payor on or after the Issue Date.
