Action or Proceeding
Action or Proceeding. Means any action, suit, hearing, proceeding, arbitration or Governmental or Regulatory Authority investigation or audit, whether civil, criminal, administrative or otherwise. For purposes of this Agreement, "pending" Actions and Proceedings include, without limitation, demands, claims, notices of violations, and demand letters.
