Actively Engaged. "Actively Engaged," with respect to Grantee on any date of determination, means (i) Grantee is then a Director and (ii) Grantee has not sold, or otherwise disposed for pecuniary gain, shares of the Company's Class B Common Stock in excess of the Threshold Amount.
