Additional Share Amount. Additional Share Amount. A number of shares of Common Stock equal to the quotient of (x) ten million dollars ($10,000,000) minus the amount of the Cash Payment made by the Executive, divided by (y) the 60-Day VWAP, with any fractional shares rounded to the nearest whole number. For the avoidance of doubt, the Additional Share Amount will be zero if the amount of the Cash Payment equals ten million dollars ($10,000,000).
