Additional Units. All Units or Convertible Securities issued by Advanced BioEnergy, other than the following: i. Units issued as a dividend or distribution on Units; ii. Units or Convertible Securities issued to employees or directors of, or consultants to, Advanced BioEnergy or any of its subsidiaries pursuant to a compensation plan, agreement or arrangement existing as of the date hereof and disclosed in the SEC Reports or approved by the Directors; ... iii. Units issued upon the exercise or exchange of Convertible Securities, in each case provided such issuance is pursuant to the terms of such Convertible Security; or iv. Additional Units. The number of Units representing fifty percent (50%) of the votes entitled to be cast at any Meeting, plus one Unit, minus the number of Units owned by Parent as of the record date of such Meeting.
