Adjusted EBITDA

Adjusted EBITDA. Earnings before interest, taxes, depreciation and amortization, and further excluding stock-based compensation, litigation expense, acquisition related expenses and other similar extraordinary items

Adjusted EBITDA. With respect to any applicable period, the net income before interest, taxes, depreciation and amortization less any capital expenditures of the Company for such period, all as calculated on a consistent basis with the accounting standards and general accounting principles applied in the financial statements attached as Schedule 4(h)

Adjusted EBITDA. Means, with respect to a given period, the adjusted amount equal to the sum of (a) net income during the applicable period, plus, (b) to the extent (but only to the extent) deducted in determining such net income, without duplication, (i) all interest expense for such period, (ii) all charges against net income for such period for federal, state, provincial and local Income Taxes, (iii) all depreciation expenses for such period, (iv) all amortization expenses for such period, (v) all fees and... expenses paid by the AdTheorent Companies pursuant to that certain Professional Services Agreement and Transaction Services Agreement, in each case among H.I.G. Capital, LLC, AdTheorent Acquisition Corporation and AdTheorent, Inc. for such period and (vi) all extraordinary, out-of-period or non-recurring or non-cash expenses or losses, minus, (c) to the extent (but only to the extent) added in determining such net income (i) all interest income during such period, and (ii) any extraordinary, out-of-period or non-recurring or non-cash income or gains (including gains on the sales of assets outside of the ordinary course of business consistent with past custom and practice), to the extent realized during such period, in each case calculated in accordance with GAAP. With respect to any mergers, acquisitions, divestitures and/or similar business combinations directly relating to the Company or its Subsidiaries after the date hereof, the Operating Board shall equitably adjust the Adjusted EBITDA ranges (including with respect to any acceleration related targets) in its good faith discretion for the applicable years due to such mergers, acquisitions, divestitures and/or similar business combinations. Adjusted EBITDA. Adjusted EBITDA. Advisor's GAAP net income, including all income and earnings of Advisor and any of its affiliates and subsidiaries from providing any service or product to the Company, the Operating Partnership or any of their affiliates or subsidiaries, plus income taxes, depreciation, amortization and all one-time expenses and other adjustments that are made and reported by the Advisor to calculate adjusted EBITDA.

Adjusted EBITDA. The Adjusted EBITDA of the Company and its Subsidiaries for the applicable period. For the avoidance of doubt, all payments in respect of Awards under the Plan shall be excluded for purposes of determining Adjusted EBITDA. A sample calculation of Adjusted EBITDA is attached hereto as Annex 1, and Adjusted EBITDA for purposes of the Plan shall be calculated consistent with such example and in a manner consistent with the Company's past practice prior to the Effective Date.

Adjusted EBITDA. Adjusted EBITDA as reported by the Company in reports as filed with or furnished to the Securities and Exchange Commission, adjusted to exclude the results of operations attributable to (i) any new business initiatives as may be designated by the Committee and (ii) Peacock (as determined by the Committee), provided that with respect to any Performance Goal applicable to this Award, the Committee may adjust Adjusted EBITDA for the prior calendar year and the year to which the performance... condition applies to take into account the impact of (i) any transaction or other nonrecurring income or expense item such that the measurement of Adjusted EBITDA for the year to which the performance condition applies is comparable to that for the prior calendar year and (ii) changes in foreign currency exchange rates on subsidiaries operating in currencies other than United States dollars such that the measurement of Adjusted EBITDA is based on exchange rates that are comparable to those used in the determination of the Performance Goal. Adjusted EBITDA. Shall mean the Company's net earnings before interest and foreign exchange, income tax expense, depreciation and amortization during the Measurement Period; and excluding significant non-cash charges such as goodwill impairment, to the extent consistent with other public reporting, as adjusted for Extraordinary Items by the Committee in its sole discretion.

Adjusted EBITDA. The definition of Adjusted EBITDA as provided in the Partnership's Annual Report on Form 10-K for the Plan Year.
