Example Definitions of "Adjustment Share Amount"
Adjustment Share Amount. Equals the greater of (I) zero and (II) the difference of (i) the quotient of (x) the Purchase Price of the Holder divided by (y) the Market Price as of the Adjustment Time, less (ii) the number of Common Shares previously issued to the Holder.
Adjustment Share Amount. Equals the greater of (I) zero and (II) 25% of the quotient of (i) the aggregate principal amount of the Additional Notes purchased by such Holder at the Additional Closing, divided by (ii) $2.88 (as adjusted for any stock splits, stock dividends, stock combinations, recapitalizations or other similar transactions).
