Administrator. The Company's Chief Financial Officer

Administrator. Means either the Board or a committee of at least two Board members to which the Board allocates administration of the Plan.

Administrator. The Committee (as constituted prior to the Change in Control). The Committee may delegate some or all of its authority hereunder to one or more persons. In the event of any such delegation, the term Administrator shall include any such delegates to the extent of the applicable delegation.

Administrator. Means the Board or any of its Committees as will be administering the 2007 Plan, in accordance with Section 4 of the 2007 Plan.

Administrator. The individual or individuals, if any, to whom the Committee delegates authority under the Plan in accordance with Section 3(d). If no delegation of authority is in effect, the Committee shall serve as the Administrator.

Administrator. The Compensation Committee of the Board, provided that the Administrator may delegate its authority under this Plan pursuant to such conditions or limitations as the Administrator may establish.

Administrator. Means the Board, the Compensation Committee of the Board or any committee the Board may subsequently appoint to administer the Plan pursuant to Section 14 hereof, if one is appointed. If at any time or to any extent the Board shall not administer the Plan, then the functions of the Board specified in the Plan shall be exercised by the Administrator. The VP of Human Resources shall administer the Non-U.S. Sub-Plans of the Plan and shall be the "Administrator" for such purposes.

Administrator. The Committee or the CEO (if the CEO is a director of the Company), subject to the provisions of Section 4

Administrator. The Committee. In addition, subject to any limitations imposed by law and any restrictions imposed by the Committee, the Chief Executive Officer of the Company may act as the Administrator with respect to Awards granted (or to be granted) to employees who are not Section 16 Participants or subject to Code Section 162(m) at the time such authority or responsibility is exercised

Administrator. The Nomination and Compensation Committee of the Board. Any reference to the Administrator includes a person appointed by the Administrator under Section 3.3 for purposes of the reference.
