Advance Notice Deadline. Means, with respect to any Annual Meeting, the last date upon which a notice to the Secretary of the Company of nominations of persons for election to the Board at such Annual Meeting would be considered "timely" under the Company's Amended and Restated Certificate of Incorporation and By-Laws.
