Advisor Change of Control

Advisor Change of Control. The sale, lease, transfer or other disposition, in one or a series of related transactions, of interests in the Advisor which will transfer to any Person other than an Affiliate of RAIT the power to direct or control the Advisor; provided, however, that Advisor Change of Control shall not include (i) any public offering of the equity interests of the Advisor, or (ii) any assignment of this Agreement by the Advisor as permitted hereby and in accordance with the terms hereof.
