Affected Award. Each Stock-Based or Cash-Based Award held by Executive immediately prior to a Change in Control Qualifying Termination, other than Cash-Based Awards being used on an annual basis in place of an annual bonus described in Section 4(b)(i)(2) or incorporated into Section 5(i), as applicable.
