Affiliated Entity Appreciation

Affiliated Entity Appreciation. The percentage amount increase in (i) the VWAP of a unit of common equity of the Affiliated Entity that is the subject of the Acquisition on the Trading Day immediately prior to an Announcement and (ii) the average VWAP of a unit of common equity of such Affiliated Entity commencing on the date of the Announcement and ending on the earlier to occur of (A) 60 days thereafter and (B) consummation of the Acquisition.
