Agreed Price. Shall relate to the grant of a SAR without respect to a Related Option, and shall mean the value assigned to the Available Shares in the Award which will form the basis for calculating the Spread on the date of exercise of the SAR, which assigned value may be any value determined by the Committee, including the Fair Market Value of the Shares on the Date of Grant.
