Agreed Value

Agreed Value. Means the per share dollar amount last established by the Board of Directors of Avatech for purposes of the 1998 Employee Stock Purchase Plan ("ESPP"). Agreed Value. With respect to Contributed Property the fair market value of such property as of the date of contribution to the Venture as determined by the general partners of the Venturers.
