Agreement and Release

Agreement and Release. The Agreement and Release described in Section 5 hereof, and in the form attached as Exhibit A to this Policy, which must be timely executed, and not revoked, as a condition to an Eligible Executive's receipt of the benefits provided for in this Policy.

Agreement and Release. Shall mean a separation agreement and general release of any and all claims against the Employer and all related entities, persons and parties with respect to all matters arising out of the Employee's employment by the Employer, and the termination thereof (other than claims for any entitlements under the terms of this Agreement or under any plans or programs of the Employer under which the Employee has accrued and is due a benefit), in the form provided by the Company.
