AIP

AIP. Shall mean the Starwood Hotels & Resorts Worldwide, Inc. Annual Incentive Plan as set forth herein and as from time to time amended.

AIP. Any Annual Incentive Plan of the Company, as in effect immediately prior to a change of Control, or predecessor or prior plan, including BMBC's Thrift and Savings Plan and the Company's annual bonus plan

AIP. Any plan or arrangement of the Company providing cash-denominated bonuses for annual performance.

AIP. For each Employee, the then current plan or arrangement of the Company providing cash‐denominated bonuses for annual Company and/or business unit performance in which such Employee participates.

AIP. Any Annual Incentive Plan of the Company, as in effect immediately prior to a Change of Control, or predecessor or prior plan, including the Company's annual bonus plan applicable to Employee

AIP. The annual incentive payment, being the greatest of (i) any annual incentive payment amount earned by the Eligible Individual during the calendar year immediately preceding the Date of Termination, (ii) any annual incentive payment amount earned by the Eligible Individual two calendar years immediately preceding the Date of Termination, and (iii) the Eligible Individual's then current "target" annual incentive payment amount.

AIP. The Company's Annual Incentive Plan, or any successor annual cash incentive bonus plan

AIP. Shall mean the Triad 2003 Corporate Annual Incentive Plan, as amended.
