Alliance Arrangement. The arrangement in respect of Alliance and its shareholders under the provisions of Section 192 of the Canada Business Corporations Act, R.S.C. 1985, c. C-44, as amended, on the terms and conditions set forth in the Plan of Arrangement under and as defined in the Alliance Arrangement Agreement.
