Allocated Amount

Allocated Amount. Shall mean a number of shares of the Licensee's Preferred Stock issued in the Qualified Financing calculated by dividing [***] dollars ($[***]) by the price per share paid by an investor for a share of the Licensee's Preferred Stock (calculated for this purpose without giving effect to any discount associated with the conversion of any then outstanding convertible promissory notes converting into shares of Preferred Stock in the Financing Round).
