AMENDED FIRST OFFER AGREEMENT

AMENDED FIRST OFFER AGREEMENT. Means the Amended and Restated Right of First Offer and Co-Sale Agreement by and among the Company and the parties signatory thereto, executed and delivered at the First Closing and dated and effective as of the Second Closing, as the same may be amended or modified from time to time, which shall be in the form of EXHIBIT B hereto.
