Amendment Fee

Amendment Fee. Seven Thousand Five Hundred Dollars ($7,500)

Amendment Fee. Equal to $495,313, which shall be due and payable on March 31, 2002, if either (a) the Lenders do not approve a proposed sale of Veridian Engineering, Inc., such approval not to be unreasonably withheld, or (b) the Borrower (or any Subsidiary thereof) has not received substantially all of the net cash proceeds from the sale of Veridian Engineering, Inc. by March 31, 2002. The entire amount of the Amendment Fee shall be deemed fully earned and non-refundable upon the closing of this Amendment.

Amendment Fee. In the amount of 0.75% of such Lender' s outstanding Loans, LC Exposure and unused Commitments as of the Restatement Effective Date; provided that the Amendment Fee shall not be payable unless and until this Amendment becomes effective as provided in Section 6 below.

Amendment Fee. Equal to 0.125% of such Lender's Commitment.

Amendment Fee. The Borrower shall pay to the Administrative Agent for the ratable benefit of the Lenders a one-time amendment fee in the amount of Three Hundred Fifty Thousand Dollars ($350,000) (the "Amendment Fee") in connection with this Amendment, and the effectiveness of this Amendment shall be conditioned upon the Agent's receipt of the Amendment Fee on or prior to the Effective Date.

Amendment Fee. A non-refundable amendment fee equal to $100,000

Amendment Fee. A non-refundable fee (the "Amendment Fee") in an amount equal to 0.125% of the portion of the Total Commitment attributable to the Consenting Lenders

Amendment Fee. Shall have the meaning set forth in Paragraph 5 of the First Amendment.

Amendment Fee. To the Administrative Agent for the account of each Lender that executed and delivered this Fifth Amendment on or prior to 5:00 p.m. (New York City time) on April 27, 2009 (or such later time as the Borrower and the Administrative Agent shall agree) in an amount equal to $125,000.00 to be shared pro rata among the Lenders so executing and delivering this Fifth Amendment in proportion to their Revolving Credit Commitments.

Amendment Fee. The "Supplemental Amendment Fee" and, together with the Initial Amendment Fee, the "Amendment Fee"
