Amendment No. 1 Effective Date. Means the Amendment No. 1 Effective Date, as defined in Amendment No.

Amendment No. 1 Effective Date. The first date (the "Amendment No. 1 Effective Date") on which each of the following conditions shall have been satisfied or waived:

Amendment No. 1 Effective Date. Shall mean the date on which all the conditions set forth or referred to in Section 8 hereof shall have been satisfied (or to the extent permitted under the Credit Agreement, waived by the Administrative Agent and each of the Lenders party hereto).

Amendment No. 1 Effective Date. The date the following conditions are satisfied (the "Amendment No. 1 Effective Date")

Amendment No. 1 Effective Date. The date that Amendment No. 1 became effective in accordance with Section 3 of Amendment No. 1 which date is July 28, 2010.

Amendment No. 1 Effective Date. Shall mean the date as of which Amendment No. 1 dated as of May 7, 2002 to this Agreement shall become effective.

Amendment No. 1 Effective Date. Is defined in Part III.

Amendment No. 1 Effective Date. The effectiveness of this Amendment and the amendments set forth in Section 2 hereof, are subject to satisfaction (or waiver by the Administrative Agent and the Lender party hereto) of the following conditions precedent (the first date of such satisfaction (or waiver) being the "Amendment No. 1 Effective Date"): (a) the Administrative Agent (or its counsel) shall have received (i) from each of the Borrower and the Guarantors, and (ii) from the sole Lender party hereto... constituting the Required Lenders either (x) a counterpart of this Amendment signed on behalf of such party or (y) written evidence reasonably satisfactory to the Administrative Agent (which may include delivery of a signed signature page of this Amendment by facsimile or other means of electronic transmission (e.g., "pdf")) that such party has signed a counterpart of this Amendment; (b) the Borrower shall have delivered to the Administrative Agent (or its counsel) a certificate from a Responsible Officer of the Borrower, dated as of the Amendment No. 1 Effective Date, to the effect set forth in Section 4(b) and (d) hereof; (c) prior to or substantially concurrently with the Amendment No. 1 Effective Date, the Borrower shall have paid (or caused to be paid) to the Administrative Agent all reasonable and documented out-of-pocket expenses of the Administrative Agent incurred in connection with the preparation, execution and delivery of this Amendment and the other instruments and documents to be delivered hereunder, if any (but limited, in the case of legal fees and expenses, to the actual reasonable and documented out-of-pocket fees, disbursements and other charges of Cahill Gordon & Reindel LLP, counsel to the Administrative Agent), in each case, to the extent invoiced at least one Business Day prior to the Amendment No. 1 Effective Date and otherwise required to be paid by the Borrower on or prior to the Amendment No. 1 Effective Date pursuant to, and subject to the limitations set forth in, Section 9.05 of the Existing Credit Agreement and (without duplication) the correlative provisions set forth in any other Loan Document (as defined in the Existing Credit Agreement); and (d) prior to or substantially concurrently with the Amendment No. 1 Effective Date, the Borrower shall have paid (or caused to be paid) to the Administrative Agent, for the account of the sole Lender party hereto, all fees due and payable to such Lender in connection with this Amendment, on the terms and subject to the conditions as separately agreed in writing between the Borrower and the Lender.
