Amendment No. 3 Effective Date

Amendment No. 3 Effective Date. The date (the "Amendment No. 3 Effective Date") that the Administrative Agent shall have received executed signature pages hereto from Holdings, the Borrower and Lenders constituting the Required Lenders under the Credit Agreement;

Amendment No. 3 Effective Date. The date (the "Amendment No. 3 Effective Date") that Agent shall have received a counterpart of this Amendment, executed and delivered by a duly authorized officer of each Loan Party and the Required Lenders.

Amendment No. 3 Effective Date. The first date on which all of the conditions precedent to the effectiveness of Amendment No. 3 shall have been satisfied or waived.

Amendment No. 3 Effective Date. Shall mean December 31, 2000.

Amendment No. 3 Effective Date. The date (such date, the "Amendment No. 3 Effective Date") that the Administrative Agent shall have received a counterpart signature page of this Amendment signed on behalf of the Borrower and Lenders constituting Required Lenders.

Amendment No. 3 Effective Date. The first date of such satisfaction (or waiver) being the "Amendment No. 3 Effective Date"

Amendment No. 3 Effective Date. This Amendment shall become effective on the date on which the following condition is satisfied (the "Amendment No. 3 Effective Date"): the Administrative Agent shall have received counterparts of this Amendment, duly executed by the Lead Borrower and the Lenders who constitute the Required Lenders, which shall be originals or facsimiles or electronic copies (and, to the extent requested by the Administrative Agent, followed promptly by originals) unless otherwise specified.

Amendment No. 3 Effective Date. (as hereinafter defined)

Amendment No. 3 Effective Date. Is defined in Part III.

Amendment No. 3 Effective Date. Shall mean the date of the effectiveness of this Amendment No. 3 in accordance with Section 3 of this Amendment No. 3.
