Amendment relating to Redemptions; Dividends. The proviso in Section 7.07(a) of the Credit Agreement is hereby amended by adding "its issued and outstanding shares of Preferred Stock, at an aggregate cost to the Borrower for such repurchase in any calendar year (commencing with the calendar year 2007) not to exceed $5,000,000, or" immediately following the reference to "repurchase" in the first line thereof.
