Amendment to Definition of "Consolidated Net Income"

Amendment to Definition of "Consolidated Net Income". The definition of "Consolidated Net Income" set forth in Section 1.01 of the Credit Agreement is hereby amended by adding the following immediately after "for any period" in the first line of the definition: ", subject to determinations expressly required to made on a Pro Forma Basis".
