Annual Adjusted Cash Flow Per Share Rate. For purposes of this Award, the "Annual Adjusted Cash Flow Per Share Rate" for each Fiscal Year in the Performance Period, shall be equal to the quotient (rounded to three decimal places and then expressed as a percentage) of (i) Annual Adjusted Cash Flow Per Share divided by (ii) the Pro Forma Stock Price, as specified in Appendix B to this award.
