Annual Bonus Amount. Annual Bonus Amount. For any Participant, the average of the annual cash incentive awards paid to the Participant under the Halyard Health, Inc. Executive Officer Achievement Award Program or the Halyard Health, Inc. Management Achievement Award Program, as applicable, or any successor or additional plan (the "Bonus Program"), for the three years prior to the year in which the Qualified Termination of Employment occurs (or such fewer number of year for which the Participant has been employed by the Corporation, if... less than three), or, if higher, the three years prior to the year in which the Relevant Date occurred. If a Participant has not received any prior payment of annual awards, the Annual Bonus Amount under the Bonus Program will be determined as follows: (i) For a Discretionary Participant, the Annual Bonus Amount shall be based on the average dollar amount of the annual awards paid under the Bonus Program to other employees at the same grade level as the Discretionary Participant for the applicable three-year period. (ii) For an Executive Participant other than the Chief Executive Officer of the Corporation, the Annual Bonus Amount shall be based on the average dollar amount of the annual awards paid under the Bonus Program to Executive Participants (other than the Chief Executive Officer of the Corporation) for the applicable three-year period.
