Annual Grant Date

Annual Grant Date. The first Trading Day occurring on or after August 15 of each year; provided, however, that with respect to any Annual Grant, if such first Trading Day occurring on or after August 15 of the applicable year does not occur during a Window Period, then the Annual Grant Date shall be the first Trading Day of the next subsequent Window Period.
