Annual Incentive Bonus

Annual Incentive Bonus. Means with respect to a Fiscal Year the award, if any, granted to Executive by the Committee under the terms of the Anixter International, Inc. Management Incentive Plan, as approved by the shareholders of Parent on May 20, 2004, or any other short term incentive compensation plan subsequently established by Parent or Company for the benefit of executive level employees of Company.

Annual Incentive Bonus. Any Annual Incentive Bonus to which a Participant may become entitled pursuant to the Plan; provided, however, that the establishment by the Committee of a potential Annual Incentive Bonus with respect to a Participant pursuant to Section 3(a) does not, by itself, entitle the Participant to payment of any such Bonus until such Bonus has been earned and becomes payable pursuant to other provisions hereof.
