APL Appreciation. The percentage amount increase in (i) the VWAP of a Common Unit on the Trading Day immediately prior to an Announcement and (ii) the average VWAP of a Common Unit commencing on the date of the Announcement and ending on the earlier to occur of (A) 60 days thereafter and (B) consummation of the Acquisition.
