Applicable Bonus

Applicable Bonus. Notwithstanding anything to the contrary in this Agreement, for purposes of calculating payments under Section 12(f), "Applicable Bonus" means the higher of (i) the Highest Recent Bonus (as defined in Section 12(b)(i)) and (ii) the Annual Bonus (as defined in Section 6(c)) paid or payable, including any bonus or portion thereof which has been earned but deferred (and annualized for any fiscal year consisting of less than twelve full months or during which the Executive was employed for less... than twelve full months), for the most recently completed fiscal year during the Term, if any (the "Recent Annual Bonus") (such higher amount being referred to as the "Highest Annual Bonus"). Applicable Bonus. Means the Target Annual Bonus for the Company fiscal year which includes the Date of Termination.

Applicable Bonus. (i) if the Period of Employment ends after the annual bonus in respect of calendar year 2013 has been paid (or after the time such annual bonus would have been paid in the ordinary course, if none shall be paid), the average of the annual bonuses in respect of the three calendar years preceding the calendar year in which the date of termination occurs, (ii) if the Period of Employment ends after the annual bonus in respect of 2012 has been paid (or after the time the annual bonus in respect of... 2012 would have been paid in the ordinary course, if none shall be paid), but before the annual bonus in respect of 2013 has been paid (or before the time the annual bonus in respect of 2013 would have been paid in the ordinary course, if none shall be paid), the average of the annual bonuses in respect of 2011 and 2012, (iii) if the Period of Employment ends after the annual bonus in respect of 2011 has been paid (or after the time the annual bonus in respect of 2011 would have been paid in the ordinary course, if none shall be paid), but before the annual bonus in respect of 2012 has been paid (or before the time the annual bonus in respect of 2012 would have been paid in the ordinary course, if none shall be paid), the annual bonus in respect of 2011, and (iv) if the Period of Employment ends before the annual bonus in respect of 2011 has been paid (or before the time the annual bonus in respect of 2011 would have been paid in the ordinary course, if none shall be paid), $1,000,000. (i) if the date of termination occurs after all the cash incentive compensation in respect of fiscal year 2017 has been paid (or after the time such compensation in respect of 2017 would have been paid in the ordinary course, if none shall be paid), the average of the Executive's Incentive Compensation in respect of the three fiscal years preceding the fiscal year in which the date of termination occurs, (ii) if the date of termination occurs after all the cash incentive compensation in respect... of fiscal year 2016 has been paid (or after the time such compensation in respect of 2016 would have been paid in the ordinary course, if none shall be paid), the average of the Executive's Incentive Compensation in respect of fiscal year 2016 and 2015 and the Incentive Compensation from the Predecessor in respect of fiscal year 2014, (iii) if the date of termination occurs after all the cash incentive compensation in respect of fiscal year 2015 has been paid (or after the time such compensation in respect of 2015 would have been paid in the ordinary course, if none shall be paid), the average of the Executive's Incentive Compensation in respect of fiscal year 2015 and the Incentive Compensation from the Predecessor in respect of fiscal year 2014, and (iv) if the date of termination occurs before all the cash incentive compensation in respect of fiscal year 2015 has been paid (or before the time such compensation in respect of 2015 would have been paid in the ordinary course, if none shall be paid), the Executive's Incentive Compensation from the Predecessor in respect of fiscal year 2014.
