Appreciation Pool

Appreciation Pool. An amount determined as follows: (i) For 2021, (A) fourteen percent (14.0%) of the Adjusted EBITDA for such calendar year, less (B) $25,000,000. (ii) For 2022, (A) fourteen and one-half percent (14.5%) of the Adjusted EBITDA for such calendar year, less (B) $25,000,000. (iii) For each of 2023 and 2024, (A) fifteen percent (15.0%) of the Adjusted EBITDA for such calendar year, less (B) $25,000,000.
