Approved MBS Custodian. Either (a) U.S. Bank, holding MBS as securities intermediary, (b) a Person (other than U.S. Bank) approved by the Agent who has agreed to hold MBS and the proceeds of any sale or other disposition thereof as custodian, agent and bailee for the Agent pursuant to a custodial agreement (an "MBS Custodial Agreement") in a form approved by the Agent which such Person has executed with the Agent or (z) such other Person as shall have been approved for that purpose by the Agent.
